1. General

These Terms and Conditions apply to all services and deliveries provided by Duco Studios AB.
By entering into an agreement with Duco Studios AB or using our services, you agree to these terms.

Duco Studios AB primarily provides services to companies and organisations (B2B).

2. Services

Duco Studios AB provides services related to the design, implementation, and operation of company-owned academy systems, including but not limited to:

Design of internal academies for onboarding, capability development, and leadership

Design of external academies for partners, suppliers, or clients

Pre-hire and onboarding academies

Structuring of learning, knowledge transfer, and enablement

Implementation of technical platforms and workflows related to academy systems

Strategic advisory services related to the above

The scope, delivery format, and timeline of services are always defined in a separate proposal, agreement, or contract.

3. Pricing & payment

All prices are stated in SEK and exclusive or inclusive of VAT as specified in the relevant proposal or agreement.

Payment is made according to the agreed payment plan, for example via invoice or another agreed payment method.

Payment terms are stated on the invoice or in the agreement.

Any discounts or special conditions apply only if explicitly agreed in writing.

4. Delivery

Services are delivered according to the agreed plan and may include:

Digital meetings

Access to digital platforms

Documentation, structural material, or system configurations

Access to platforms or materials may be time-limited or subject to conditions specified in the agreement.

5. Cancellation & termination

Conditions for cancellation, termination, or changes are governed by the relevant agreement.

If no separate agreement applies, the following applies:

Cancellation of scheduled meetings less than 24 hours before the agreed time may be charged in full.

Services that have already been initiated are non-refundable.

6. Intellectual property rights

All materials, documentation, structural models, and systems provided by Duco Studios AB are protected by copyright and other intellectual property rights.

Without prior written consent, you may not:

Copy, distribute, or resell any materials

Use the materials in your own training, educational, or commercial offerings

Share access to platforms or materials with unauthorised parties

Materials may be used internally within your organisation in accordance with the purpose defined in the agreement.

7. Limitation of liability

Duco Studios AB is not liable for:

Indirect damages or loss of profit

Results dependent on how recommendations or systems are implemented

Decisions made based on provided materials or advisory services

Technical issues outside our reasonable control

We do not guarantee specific business outcomes.
Responsibility for implementation and use of the systems rests with the client.

9. Changes to the terms

Duco Studios AB reserves the right to update these Terms and Conditions when necessary.
The most recent version is always available on our website.

Continued use of our services constitutes acceptance of updated terms.

10. Governing law & disputes

These Terms and Conditions are governed by Swedish law.
Any disputes that cannot be resolved through dialogue shall be settled by a Swedish court.
